  • For a cleaner, greener South Africa

South Africans celebrated another successful Clean-Up and Recycle Week (12-17 September 2022) as thousands of kilogrammes of waste were removed from our natural spaces this week. According to Douw Steyn, Sustainability Director at Plastics SA, literally hundreds of clean-up events took place around South Africa in an effort to keep our environment clean, with many more initiatives continuing to take place over the coming weeks. “Clean-Up and Recycle Week 2022 was action-packed, and it was wonderful to see the large number of volunteers signing up for clean-ups at beaches, rivers, and streams and in communities around the country. Our sincere gratitude goes out to all the coordinators who worked tirelessly to ensure that everything ran smoothly on the day; the many sponsors who contributed either financially or with products to this year’s clean-up efforts, and every South African who freely and willingly gave of their time and energy to make a difference, by removing visible litter from the environment,” he said. Highlights of this year’s Clean-Up & Recycle SA Week included River Clean-Up Day, which took place on Wednesday, 14 September, National Recycling Day which took place on Friday, 16 September, and the International Coastal Clean-Up and World Clean-up Days both falling on Saturday, 17 September. These incredible days united over 180 countries across the world for a cleaner planet as volunteers and organisations took to cleaning every space imaginable – including divers who went deep-sea litter hunting! Douw especially thanked Plastics SA’s Sustainability Manager, John Kieser, who has been the Cape Provinces coordinator and one of the founder members of the South African International Coastal Clean-Up for the past 27 years. Plastics SA’s work is not finished yet, as the completed audit sheets now need to be compiled, processed and analysed to produce a final report about South Africa’s participation in this year’s events, as well as a snapshot of the waste found on our beaches and waterways. “We want to encourage communities to continue with their efforts to keep their communities clean. Every South African can make a difference every day by picking up litter and ensuring that they recycle. Small, consistent efforts make a huge difference if everybody does it. Together we can turn the tide on litter in our country!” Douw concludes. For more information, please visit http://www.cleanupandrecycle.co.za or www.plasticsinfo.co.za

  • David White: TAMI -Supporting African Trade

After several months at the drawing board, and deliberations with influential business leaders on the African continent on how best to create opportunity for Small and Medium Enterprises (SMEs) and larger organisations to trade effectively across borders, The Africa Marketing Initiative (TAMI) has been born. TAMI is strongly supported by the South African Chamber UK, the Commonwealth Entrepreneurs Club, and the Global Economic Forum. The organisation consists of an on-the-ground localised South African action unit essential in supporting inbound SME and corporation trade and development. TAMI is made up of passionate and dedicated personnel, focused on helping the global business community trade effectively with South Africa. TAMI teams work closely with local and international SMEs and corporations, and through established networks and support partners delivers excellence in business intelligence and operational support, thus creating effective trade linkages. Business Responders TAMI approved Business Responders support local and cross border trade through sharing knowledge and expertise in business administration, market awareness, and requirements in meeting local trade and compliance responsibilities. Foreign organisations considering trading in South Africa require an understanding of local market opportunities, business trading knowledge, best practice expectation, as well as company and employment engagement practices, and reporting responsibilities. TAMI’s essential service provisions include banking support, professional guidance in aspects such as financial management and adherence, local legal infrastructure and guidance, HR support and staffing engagement, black economic empowerment transformation awareness, operational and logistic integration, sustainability, governance, and the like. Each appointed TAMI Business Responder is ready to support SMEs and corporations wishing to understand all that is required to champion their endeavours in setting up and advancing business development opportunities in South Africa. Supporting Africa Trade It is true that more than 80% of trade in Africa is done with countries outside of Africa. In fact, a mere 18% of trade is done between African countries. There are many reasons for trade between African countries being so marginalised, which go right to the early days of colonialism. There are, however, many organisations and initiatives helping to unlock commercial value for cross border trade between African countries. The African Union is a significant contributor in this work and exists as an organisation to support Africa as an integrated, prosperous and peaceful continent, driven by its own citizens, and representing Africa as a dynamic force in the global economy. As a comparative to the African Union’s effectiveness and possibility, the European Community was formed in 1957 and replaced by the European Union in 1993, and today enjoys 70% trade integration among its members. The African Union shifted focus from supporting liberation movements in the former African territories under colonialism, as envisaged by the Organisation of African Unity in 1963, to being an organisation spearheading Africa’s development and integration. TAMI Effectiveness TAMI supports the African Union objectives, and in particular, the commercially linked aspects of: · Achieving greater unity and solidarity between African countries and the people of Africa · Defending the sovereignty, territorial integrity, and independence of its member states · Accelerating the political and socio-economic integration of the continent · Encouraging international cooperation, taking due account of the Charter of the United Nations and the Universal Declaration of Human Rights · Promoting peace, security, and stability on the continent · Promoting democratic principles and institutions, popular participation, and good governance · Establishing the necessary conditions which enable the continent to play its rightful role in the global economy and in international negotiations · Promoting sustainable development at economic, social and cultural levels as well as integration of African economies · Promoting cooperation is all fields of human activity to raise the living standards of African people · Promoting research in all fields, particularly science and technology · Eradication of preventable diseases and promotion of good health on the continent The African Union portfolios and commission include: Peace and Security; Political Affairs; Infrastructure and Energy; Social Affairs; Human Resources, Science and Technology; Trade and Energy; Rural Economy and Agriculture; and Economic Affairs. TAMI helps link the African Union’s vision and intention to business leaders and entrepreneurs who support these collaborating and unifying ideals, and who want to help in this critical transformation. This support will be through building suitable infrastructure and network channels that encourage effective trade and relationship building within neighbouring countries. TAMI links business executives to an in-country ‘landing port’, where they are able to meet business professionals in each organisation’s functional area, making it possible for valuable information and ‘know how’ to be received and channelled to decision makers. This interaction will result in better choices, and a better understanding of, and adherence to, local trade and operation compliance requirements. The Africa Continental Free Trade Agreement The Africa Continental Free Trade Agreement (AfCFTA) was adopted and opened for signatures on 21 March 2018 in Kigali, Rwanda. Trading under the Agreement commenced on 1 January 2021. AfCFTA covers trade in goods, trade in services, investment, intellectual property rights and competition policy. It represents a major opportunity for African countries to bring 30 million people out of extreme poverty and to raise the incomes of 68 million people who live on less than USD 5.50 per day. AfCFTA aims to cut red tape and simplify customs procedures and to unlock as much as USD 292 billion in potential income gains on the continent. These reforms will enhance long-term growth and development in African countries. Each country ratified within AfCFTA shares a basket of products and services not subject to cross border import tariffs, making it easier for entrepreneurs to focus on specific demands for products and services. AfCFTA in effect is the largest free trade area in the world measured by the number of countries participating. The Agreement connects 1.3 billion people across 55 countries with a combined gross domestic product (GDP) valued at USD 3.4 trillion and aims to significantly boost wages for skilled and unskilled people, and to increase Africa’s exports by USD 560 billion. To date 44 out of the 54 signatories to the Agreement have deposited their instruments of AfCFTA ratification, and much progress in this initiative has already been achieved. The Agreement, when fully implemented, will reduce tariffs among member countries, cover policy areas of trade facilitation and services, as well as regulate measures such as sanitary standards and technical barriers to trade. Thus, AfCFTA will reshape markets and economies across the African continent, and significantly increase output in services, manufacturing, and natural resource sectors. TAMI recognises that creating a single, continent-wide market for goods and services, and supporting business and investment aspects will reshape the African economy and support a huge step forward for the Continent. This advancement in Africa’s commercial development will demonstrate to the world that Africa is emerging as a leader in global trade and resourcing. TAMI Services TAMI provides holistic business integration support services to international organisations wishing to trade in South Africa and is a powerful source of contact for local South African organisations wishing to gain knowledge, understanding and resourcing. TAMI website and facility links international and local business knowledge seekers directly with professional service providers, allowing for a seamless introduction to understand all that is required to trade effectively and compliantly in South Africa. Try us. We are a new concept in supporting the work of the African Union and the Africa Continental Free Trade Agreement, with a mission to help ensure cross border transactions are easier and more effective, and that they support the growth and development of organisations trading and endeavouring to trade on the African Continent. • Wealth Masters - The danger of an outdated Trust

Trust requirements have changed in the past years, and it is crucial to have an up-to-date Trust Deed and Letter of Authority at all times. Although we rely on the Trust Property Control Act 57 of 1998, we must include the Master Directives, specific statutes, and case law. This article will look at common outdated clauses and issues possibly relating to your Deed. If you see any of these issues, it is vital to contact a TTS Trust Advisor as soon as possible to review and amend your Trust Deed to avoid the risk of losing your assets. No Independent Trustee Appointed It has become a standard requirement from the Master that a truly Independent Trustee gets appointed to every Trust. The Master will accept no registrations of new Trusts and amendments of old Trusts before the Independent Trustee is appointed. Look at your Letters of Authority and make sure the Independent Trustee has gets noted. If contact with an Independent Trustee is limited or the company where they are employed is no longer operational, it is imperative to appoint a new Independent Trustee. As always, we can assist you with this through our trusted and expert service provider, Treasury Trust Services. Amendment clauses When the Founder is the only person who may vary the Trust Deed, it is essential to note that a Founder must give up control of the Trust assets. The Founder may not control the Trust nor be a dominant Trustee. A Trust may have variations during the lifetime of the Founder. Still, it must be in writing between the Founder, Trustees, and any beneficiaries who have received a vested right. There should also be a provision in the Deed after the death of the Founder. The Trustees and the beneficiaries who received a vested right must be able to amend the Deed to ensure that the Trust can continue for generations to come. Replacement Trustees In older Trusts, the Founder may have named replacement Trustees, which have since passed, or it may no longer be practical to appoint them as replacements. Although it is permissible to name the replacement Trustees in your Trust Deed, we advise that this clause get amended to give a Trustee the power to nominate a replacement in their Will. A Trust Deed must get amended every time you change a replacement Trustee, which can be costly and time-consuming as you will have to wait for the Master to confirm that the amendments have been noted. You can change the Will anytime before death when nominating replacement Trustees in your Last Will and Testament. Alternate Trustees In South Africa, a Trustee may only attend to valid transactions when they get duly appointed by the Master of the High Court of South Africa. The Master must issue a valid stamped Letter of Authority indicating the same. The Trust Property Control Act does not make provision for the appointment of an alternate Trustee, which was confirmed in the "Hoosen v Deedat" case. Removing such clauses and relying on a proxy where Trustees cannot attend meetings is essential. These types of decisions by alternate Trustees may be invalid. Termination of Trust Clause In many of the Trust Deeds we receive, the termination clause is vague, or, in some instances, there is no mention of this. The termination clause must state when the Trustees will have to adhere to the termination date. In discretionary Trust, it is usually unanimously determined by the Trustees. The division of assets must be set out, and, again, this gets decided by the Trustees. In basic terms, your Trust must have guidelines as to who will terminate the Trust and to whom/how the assets will get divided. Discretionary and Vested Rights In almost all cases when we receive a review, the Deed provides clauses that give the Trustees discretionary powers, but further along, we see conflicting clauses where, for instance, if the youngest child turns 25, the Trust will terminate. The Deed may also provide words that can lead one to believe this is not a Discretionary Trust but seems to offer vested rights to the beneficiaries. Confusion within a deed may result in lengthy litigation as you never know when a beneficiary, 3rd party, or spouse may litigate. The drafter must distinguish and ensure the correct terms get used throughout the Deed. If you notice any outdated clauses in your Trust Deed, it is vital to correct this and consult a professional to ensure each term is 100% correct. • Sappi - Spreading the goodness with a little help from our friends this World Food Day 16 October

Sustainability is more than a buzz word at Sappi. We’re invested in nurturing beneficial partnerships that help drive our vision of building a thriving world. Sappi’s business is one deeply rooted in sustainability, where the future of our industry and the forests we manage are ultimately interconnected. Today, we own and lease 394,000 hectares of sustainably managed forests in South Africa, with our operations having a far-reaching, knock-on effect for people and planet. Our commitment to championing healthy forests not only ensures that they’re around for generations to come, but also plays a significant role in safeguarding the environment. Among other things, we depend on forests for clean air and water, providing a refuge for biodiversity, mitigating climate change, supplying raw materials, community upliftment, and, perhaps known to a lesser extent, they’re a haven for honeybees. We’re taking a leaf out of Mother Nature’s book and ‘bee-friending’ our local allies through partnerships with various beekeeping businesses. One such partnership is in the Lowveld of Mpumalanga with Bee Naked Honey Farms. Bee Naked shares our vision of sustainability, being a producer of raw local honey (distributed under the Eat Naked brand) and provider of pollination services to local farmers in the region. By allowing Bee Naked Honey Farm beekeepers to place hives in our plantations, we’re helping to bolster honeybee populations that provide vital pollination services to the region, while their honeybees work their magic benefitting our surrounding environment. But that’s not all these busy workers do. It’s no secret the massive role these tiny creatures play in our food supply chain. Blueberries, raspberries, strawberries, macadamia nuts, avocados, litchis, apples, pears, plums, some apricots, almonds, cherries, melons, pumpkins, butternuts, kiwis, onion seed, sunflower seed, carrot, and vegetable seed are but a few of the many crops to which we owe thanks to bees. As Mike Allsopp, Head of Beekeeping at the Agricultural Research Council, explains: “While accurate data is limited, best estimates show that the demand for commercial honeybee pollination is set to increase by 15-20% per year in South Africa. When you consider that there are already not enough managed honeybees to meet SA’s pollination demands, coupled with the fact that the amount of foraging territory available to honeybees continues to dwindle, it’s easy to see why this spells trouble for not only our honeybees, but our food supply chain and the complex web of life they support." As demand for pollination services continues to grow, it's clear that every avenue must be explored under a united front if we’re to sustain honeybee colonies. This includes the planting of cover crops in vineyards and other non-pollination dependent crops, the restoration of fallow land, the establishment of woodlots, and the planting of bee-friendly forages in verges and suburbia. However, according to Allsopp, all these actions will only be enough if we’re also able to protect and sustain two fundamental enablers of honeybee colony numbers in the country. Namely, the canola fields of the Cape in the late summer and the winter-flowering commercial forestry eucalyptus of the Lowveld and KZN. These two ‘crops’ are essential to the trapping and building of honeybee colonies prior to pollination season, allowing beekeepers to service the spring pollination needs of berries, macadamias, and all else. Of the 394,000 hectares of Sappi-owned forests in South Africa, 163,000 ha or 63% comprises eucalyptus. That’s roughly 30% of South Africa’s eucalyptus output. Sappi therefore, plays a pivotal role in the sustainability of honeybees and the pollination ‘service’ that they provide. Without these two ‘pollination enablers’, the production of nearly all commercial crops needing pollination in South Africa would be in serious trouble. It begs the question, are all the key players, including the public, aware of the challenge at hand? We’d all be wise to do what we can to share this message far and wide. As forests are important to the environment, our business and local communities, honeybees are vital to forest-dwelling fauna and flora – and vice versa. In a nutshell, bees need trees, and trees need bees. By teaming together with like-minded partners, we’re able to play a major part in sustaining honeybee populations, supporting our local honey industry and beekeepers, protecting our forests and, ultimately, having an even greater positive impact through our shared purpose: a thriving future for all. www.sappi.com http://www.eatnaked.co.za

  • Willowton Group announces more stolen goods recovered and an arrest made

Following an armed robbery that took place at Willowton Group’s off-site warehouses in Kempton Park, Johannesburg last Wednesday (5 October 2022), the organisation has announced that further stolen goods have been recovered and another arrest made. This time, a pallet of SUNFOIL SUNFLOWER OIL 2l stock was recovered in a foreign-owned superette located in the Vaal Triangle region, which was identified by the stolen good batch codes. Willowton Group confirmed that one arrest has been made. Through the tireless efforts of their security partners who visited a substantial number of stores over the past weekend within the Vaal triangle area, the stock was discovered. However, the perpetrators involved in the robbery have not been apprehended and so the reward of R100 000 remains to be claimed by anyone with information that leads to the successful apprehension of the perpetrators as well as the recovery of the remaining stolen stock. During Wednesday’s incident, robbers held up the staff at the facility where they loaded three of their own trucks with substantial quantities of 2L SUNFOIL SUNFLOWER OIL. A case was opened with the South African Police Service and the reward of R100 000 was shared on social media platforms. Through the tireless efforts of police and security personnel, one of the truckloads of stolen 2L SUNFOIL SUNFLOWER OIL were recovered in Vanderbijlpark last Wednesday night, and a number of suspects were arrested. Members of the public and traders are requested not to purchase any of the stolen stock which is identified by batch codes, known to the police and security partners who are currently trying to locate all the missing stock. Anyone with information about the stolen goods is urged to report this to 082 888 7813. All information will be treated with the strictest confidence. • Garden Day in KZN was held on 9 Oct 2022

Thousands of people throughout South Africa celebrated their green spaces with neighbours, family and friends for the seventh annual Garden Day (Sunday 9 October) by popping on a flower crown and toasting the goodness their gardens give them all year long. Garden Day was conceptualised by a group of enthusiastic gardeners who wanted to encourage people across South Africa to connect by celebrating their green spaces – no matter how big or small - and embrace the endlessly therapeutic effects of these leafy respites. Hold On to Your Flower Crown was the theme for this year's Garden Day, which returned on Sunday, 9 October Water the flower beds, trim the hedges, prune the plants, and start prepping the party menu. Garden Day 2022 , the annual movement that encourages us to celebrate our green spaces, took place on Sunday 9 October and called on everyone to celebrate with neighbours, family and friends. Now in its seventh year, Garden Day was created by a group of enthusiastic gardeners who wanted to encourage people across South Africa to connect by celebrating their green spaces – no matter how big or small - and embrace the endlessly therapeutic effects of these leafy respites. “For me it’s a day to ignore my tools and look beyond the weeds, and simply be in the moment and take pleasure in the beauty of my garden,” says one of the movement’s founding gardeners Gundula Deutschlander of Babylonstoren. Get celebration-ready First thing’s first. As the official symbol of Garden Day, wearing a flower crown is a must, says Deutschlander. Once you’ve made your own and your flower crown is good to go, you can pay tribute to your garden by hosting a tea party, braai, swanky sundowners or lazy picnic… whatever works for you. “It doesn’t matter the size or shape of your garden, everyone is encouraged to get involved,” says Deutschlander. “Whether you are surrounded by a humble windowsill of monstera deliciosa or a rambling tree-lined wilderness - Garden Day is for everyone. I love the idea of sharing my green space with others and I’m always excited to see how creative everyone is on Garden Day.” Connect with your community South Africans are no strangers to soaring food costs and Garden Day lauds community gardens throughout the country for providing jobs and fresh produce at affordable prices to local residents. “This year, we are collaborating with various community gardens, including Khulisa Streetscapes’ in Cape Town and Victoria Yards in Johannesburg, which people can visit to buy their fresh weekly greens and pick up a free flower crown before heading home for a special (urban) farm-to-table lunch on Garden Day,” says Deutschlander. Another way to plant a seed within your community is to join the newfound Garden Day Society, which encourages those blessed with green fingers and a passion for their neighbourhood to help spread the Garden Day spirit by organising a celebration and getting as many guests as possible to join in the festivities. Contact the Garden Day team on their dedicated WhatsApp number + 27 66 389 5182 to find out how to get involved. How Resilient Is Your Organisation? TWIMS Campus | 11 - 13 October 2022 Course overview: Globally, organisations are being forced to disclose and report extensively on their triple bottom line which has given rise to the ESG (Environmental, Social and Governance) reporting frameworks. This framework is based on the ideology of organisations that prioritise sustainability being more resilient in the long term. The Sustainable Finance Executive Short Course explores the role of sustainable finance in transitioning organisations to becoming resilient operations. For this to occur, business operations and financial management at all levels of an organisation need to be reconstructed and rethought. This course adds to the sustainability discourse by examining theories around investment principles, ESG, finance metrics and shareholder return time frames. This course allows participants to engage critically with sustainable finance tools and metrics as well as green taxonomies. The purpose of the course is to create the space for executives to explore sustainable finance principles and multidisciplinary frameworks which may be relevant to their own organisations. The course will provide participants with theoretical and practical tools to allow them to critically engage with sustainable finance constructs particularly pertaining to sustainable business and investment analysis.
